By accessing or using the Conviv mobile application and website at conviv.ai (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms constitute a legally binding agreement between you and Conviv ("we," "us," or "our"). Please read them carefully.
2. Description of Service
Conviv is a restaurant discovery platform that allows you to:
Scan photos and links to identify restaurants mentioned in social media posts, articles, and other content.
Save restaurants to personalized lists with ratings and notes.
Get AI-powered restaurant recommendations from an interactive concierge.
Plan dining itineraries and share recommendations with friends.
Explore restaurants on an interactive map.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.
3. Eligibility
You must be at least 13 years old to use the Service. By using Conviv, you represent and warrant that you meet this age requirement. If you are under 18, you represent that you have the consent of a parent or legal guardian to use the Service.
4. Account Registration
To use certain features of the Service, you must create an account by signing in with your Google account. When you do so:
You authorize us to access certain information from your Google account (name, email, and profile photo).
You are responsible for maintaining the security of your Google account and any activity that occurs through your Conviv account.
You agree to provide accurate and current information.
You may not create an account on behalf of someone else without their permission.
You may not maintain more than one account.
Notify us immediately at support@conviv.ai if you believe your account has been compromised.
5. User Conduct
You agree not to use the Service to:
Abuse or harass other users, restaurant owners, or any other person.
Post harmful content including defamatory, obscene, threatening, or otherwise objectionable material.
Scrape or harvest data from the Service using automated means (bots, crawlers, scrapers) without our prior written consent.
Interfere with the Service by introducing viruses, overloading servers, or attempting to gain unauthorized access to any part of the Service.
Impersonate any person or entity, or falsely claim an affiliation with any person or entity.
Violate any law or regulation applicable to your use of the Service.
Circumvent any technical measures we use to provide or protect the Service.
Use the Service for commercial purposes without our written consent, including reselling data, recommendations, or any content from the Service.
We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including removing content, suspending or terminating accounts, and reporting to law enforcement.
6. User Content
"User Content" means any content you submit, post, or transmit through the Service, including restaurant ratings, notes, list names, and chat messages.
Ownership: You retain ownership of your User Content. We do not claim ownership over anything you create.
License: By submitting User Content to the Service, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, store, display, reproduce, and distribute your User Content solely for the purpose of operating, developing, and improving the Service. This license ends when you delete your User Content or your account, except to the extent your content has been shared with other users or is retained in anonymized form.
Responsibility: You are solely responsible for your User Content. You represent that you have the right to submit it and that it does not violate any third party's rights.
7. Intellectual Property
The Service, including its design, code, features, graphics, logos, and all related intellectual property, is owned by Conviv and is protected by copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of the Service.
You may not reverse-engineer or attempt to extract the source code of the Service.
The Conviv name and logo are trademarks of Conviv. You may not use them without our prior written permission.
8. AI-Generated Content
Conviv uses artificial intelligence (powered by Google's Gemini API) to provide restaurant recommendations, identify restaurants from photos and links, and power the AI concierge feature. Regarding AI-generated content:
No guarantees of accuracy: AI-generated recommendations, descriptions, and identifications are provided "as is" and may contain errors, inaccuracies, or outdated information. They are suggestions, not guarantees.
Not professional advice: AI recommendations do not constitute professional culinary, dietary, medical, or financial advice. Always verify important information independently, especially regarding food allergies, dietary restrictions, and pricing.
Use your judgment: You are responsible for any decisions you make based on AI-generated content. We are not liable for any consequences arising from reliance on AI recommendations.
Restaurant identification: When scanning photos or links, the AI's identification of restaurants may not always be correct. We recommend verifying results before making plans.
9. Restaurant Information Accuracy
Restaurant information displayed in the Service (including names, addresses, hours, menus, photos, ratings, and pricing) is sourced from third-party data providers, primarily Google Places. We do not independently verify this information.
Restaurant details may be outdated, incomplete, or inaccurate.
Hours of operation, menus, and pricing may change without notice.
We are not responsible for your experience at any restaurant discovered through the Service.
Always confirm details directly with the restaurant before visiting, especially for reservations or dietary accommodations.
10. Third-Party Services and Links
The Service integrates with and may contain links to third-party services (including Google Maps, Google Places, and others). These third-party services are governed by their own terms and privacy policies. We are not responsible for the content, practices, or availability of any third-party services.
11. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand how we collect, use, and protect your information.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:
Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Warranties that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
Warranties regarding the accuracy, reliability, or completeness of any information provided through the Service.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONVIV, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with:
Your use of or inability to use the Service.
Any reliance on AI-generated content or restaurant information.
Any unauthorized access to or alteration of your data.
Any third-party conduct or content on the Service.
Any other matter related to the Service.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF FIFTY U.S. DOLLARS (USD $50.00) OR THE AMOUNT YOU HAVE PAID TO CONVIV IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.
14. Indemnification
You agree to indemnify, defend, and hold harmless Conviv and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with:
Your use of the Service.
Your violation of these Terms.
Your violation of any third party's rights.
Your User Content.
15. Termination
15.1 By You
You may stop using the Service at any time. You may delete your account through the app (Settings → Delete Account) or by emailing support@conviv.ai. See our Data Deletion page for details on what happens to your data.
15.2 By Us
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:
Violation of these Terms.
Conduct that we believe is harmful to other users, the Service, or third parties.
Extended periods of inactivity.
Requests by law enforcement or government agencies.
15.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination (including, without limitation, Sections 6, 7, 12, 13, 14, 16, and 17) will survive.
16. Dispute Resolution
If you have a dispute with us, we encourage you to first contact us at support@conviv.ai so we can try to resolve it informally. We will make good-faith efforts to resolve any dispute within 30 days.
If we are unable to resolve a dispute informally, you and Conviv agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration on an individual basis. You agree to waive your right to a jury trial and to participate in a class action.
Notwithstanding the above, either party may bring a claim in small claims court if the claim qualifies, and either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict-of-law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of such courts.
18. Changes to These Terms
We may revise these Terms from time to time. When we make material changes, we will:

Notify you through the app or by email.
Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes. If you do not agree to the new Terms, please stop using the Service.
19. General Provisions
Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Conviv regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
No Agency: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Conviv.
Headings: Section headings are for convenience only and have no legal effect.
